These Affiliate Programme Terms and Conditions (the "Terms") govern participation in the Docaro.ai Affiliate Programme (the "Programme"). By applying to or participating in the Programme, you (the "Affiliate", "you" or "your") agree to be bound by these Terms.
If you do not agree to these Terms, you must not participate in the Programme.
1 Definitions
"Docaro.ai", "we", "us" or "our" means the operator of the website https://docaro.ai.
"Affiliate" means an individual or legal entity approved to participate in the Programme.
"Affiliate Link" means a unique URL or referral parameter provided by Docaro.ai to track referrals.
"Referred User" means a new user who accesses Docaro.ai via an Affiliate Link.
"Qualifying Transaction" means a completed and paid purchase of a document on Docaro.ai by a Referred User that is not refunded, reversed, or charged back.
"Commission" means the affiliate commission payable under these Terms.
2 Eligibility and Enrollment
2.1 Participation in the Programme is subject to approval at our sole discretion. We reserve the right to accept or reject any application for any reason.
2.2 You must be at least 18 years old and have the legal capacity to enter into a binding contract.
2.3 You represent and warrant that your participation in the Programme complies with all applicable laws, regulations, and guidelines.
3 Affiliate Links and Tracking
3.1 Referrals are tracked via Affiliate Links containing referral parameters. Only referrals correctly tracked by our systems will be eligible for Commission.
3.2 We are not responsible for tracking failures due to technical issues, browser settings, ad blockers, cookie restrictions, or user behaviour.
3.3 You must not alter, obscure, or manipulate Affiliate Links in any way intended to misattribute referrals.
4 Commission Structure
4.1 Affiliates earn a Commission equal to 50% of net revenue actually received by Docaro.ai from Qualifying Transactions made by Referred Users.
4.2 "Net revenue" means the amount paid by the Referred User excluding:
- VAT, sales tax, or similar indirect taxes;
- payment processing fees;
- refunds, chargebacks, disputes, or reversals.
4.3 Commission is earned only on Qualifying Transactions and only while the Affiliate remains in good standing.
4.4 No Commission is payable on:
- the Affiliate’s own purchases;
- purchases made using the Affiliate’s own payment methods;
- fraudulent, abusive, or non-genuine transactions.
5 Payment of Commission
5.1 Commission payments are calculated periodically and paid subject to a minimum payout threshold of $50 USD, unless otherwise agreed.
5.2 Payments are made via bank transfer. You are responsible for ensuring your payment details are accurate and up to date.
5.3 We may delay or withhold payment to:
- verify your identity or payment details;
- investigate suspicious or fraudulent activity;
- comply with legal or regulatory requirements.
5.4 You are solely responsible for any taxes, duties, or reporting obligations arising from Commission payments.
6 Affiliate Obligations
6.1 You agree to promote Docaro.ai in a professional, lawful, and ethical manner.
6.2 You must not:
- make false, misleading, or exaggerated claims about Docaro.ai or its services;
- imply any endorsement, partnership, or employment relationship beyond the Programme;
- engage in spam, unsolicited marketing, or deceptive practices;
- bid on Docaro.ai trademarks or domain names in paid advertising without prior written consent;
- use cookie stuffing, click fraud, or similar techniques.
6.3 You must clearly disclose your affiliate relationship where required by law (including applicable advertising, consumer protection, and disclosure regulations).
7 Intellectual Property
7.1 Docaro.ai grants you a limited, non-exclusive, non-transferable, revocable licence to use our name, logo, and marketing materials solely for participation in the Programme.
7.2 All goodwill arising from such use accrues solely to Docaro.ai.
7.3 You must immediately cease use of our intellectual property upon termination of your participation in the Programme.
8 Confidentiality and Data Protection
8.1 Any non-public information relating to Docaro.ai, its systems, pricing, or users is confidential and must not be disclosed.
8.2 You must comply with all applicable data protection and privacy laws, including GDPR where applicable.
8.3 You must not collect, store, or process personal data of Referred Users unless lawfully permitted and properly disclosed.
9 Term and Termination
9.1 These Terms commence when you are accepted into the Programme and continue until terminated.
9.2 Either party may terminate participation at any time, with or without cause, by providing notice.
9.3 We may immediately terminate or suspend your participation if we reasonably believe you have breached these Terms or engaged in fraudulent or abusive conduct.
9.4 Upon termination:
- all licences granted to you immediately cease;
- unpaid Commission relating to non-Qualifying Transactions is forfeited;
- Commission for valid Qualifying Transactions may be paid at our discretion.
10 Modifications to the Programme
10.1 We may modify these Terms, the Commission structure, or the Programme at any time.
10.2 Continued participation after changes take effect constitutes acceptance of the updated Terms.
11 Disclaimers
11.1 The Programme is provided "as is" and "as available" without warranties of any kind.
11.2 We do not guarantee any level of referrals, income, or success.
12 Limitation of Liability
12.1 To the maximum extent permitted by law, Docaro.ai shall not be liable for any indirect, incidental, special, or consequential losses, including loss of profits or revenue.
12.2 Our total liability arising out of or in connection with the Programme shall not exceed the total Commission paid to you in the preceding 12 months.
13 Indemnity
You agree to indemnify and hold harmless Docaro.ai from any claims, damages, liabilities, costs, and expenses arising out of:
- your participation in the Programme;
- your breach of these Terms;
- your marketing activities or content.
14 Independent Contractors
Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Docaro.ai.
15 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely.
16 Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
17 Entire Agreement
These Terms constitute the entire agreement between the parties relating to the Affiliate Programme and supersede all prior agreements or understandings.
